Broker / Client Contract

This Contract is made between the Client and Expedite Gear Solutions LLC, a company based in Dallas, Texas.

Effective Date: September 1st, 2025

THIS BROKER/CLIENT CONTRACT (the "Contract") is made between the client signing this Contract (the "Client") and Expedite Gear Solutions LLC, a company based in Dallas, Texas. The Client and Expedite Gear Solutions LLC agree as follows:

1. Ownership & Authorization

Client warrants that the Client is the registered legal owner of the property being transported (the "Load"), or that Client has been duly authorized by the legal owners to enter into this Contract for transportation of the Load.

2. Cancellation & Dry Run Fee

In the event that Client cancels this Contract for any reason whatsoever, Client shall pay Expedite Gear Solutions LLC a cancellation fee of $250.00. Additionally, a "Dry Run" or "Truck Not Used" fee in an amount of $250 may be assessed in the event Client is unavailable or unwilling to provide the Load for transportation as of the first date of availability as designated on the shipping form.

3. Carrier Assignment & Refund

In the event that Expedite Gear Solutions LLC is not able to get the Load assigned to a carrier within 15 business days from the First Available Date, Client has the option of keeping the order open or canceling for a full refund of the Reservation Fee.

Once a carrier has been assigned for pickup and transport of the Load, the Reservation Fee is non-refundable, provided however, if Expedite Gear Solutions LLC or a carrier refuses to load the Load for any reason whatsoever, Client shall be entitled to an immediate and full refund of all amounts paid including the Load Reservation Fee.

4. Claims, Concerns & Returned Items

Client hereby agrees to contact Expedite Gear Solutions LLC to resolve any claim or concern and give the company reasonable opportunity to resolve or refund as reasonably applicable.

In the event a check is returned for any reason, a returned item charge of $35 may be applied at the sole discretion of Expedite Gear Solutions LLC.

5. Liability for Unpaid Charges

Client, upon tender of the Load to Expedite Gear Solutions LLC or its transportation agent, and the consignee upon acceptance of delivery by Client or its agent, shall be jointly liable for any and all unpaid charges payable on account of the Load, including but not limited to sums advanced or disbursed by Expedite Gear Solutions LLC or any of its agents on account of such Load and any and all costs of collection including all actual and documented costs and reasonable attorney's fees.

6. Payment Terms

Unless otherwise agreed upon in writing, all Loads must be paid before or at the time of pickup.

Should a Load be picked up without payment being issued, the Load may be held until payment is received.

In such cases, there will be a $100 administrative fee added to the charges owed as well as all incurred storage fees.

If fees remain unpaid and the Load is in storage for more than two (2) weeks after written notice demanding payment, the Load will be considered abandoned and may be sold to cover outstanding charges.

7. Quotes & Specification Changes

All bids or quotes are based upon the information provided by Client. Any changes in the information provided, including but not limited to:

Dimensions

Weight

Freight class

Commodity

Operating status

Pickup or delivery addresses

Address classification

may result in increased fees which must be approved in writing by the Client prior to carrier acceptance.

Loads may be weighed using certified scales by the carrier. Any applicable extra charges may be processed using the payment information provided by Client.

8. Breach & Delivery Acceptance

Client shall pay any and all reasonable costs, including but not limited to storage, towing, and additional delivery costs, incurred as a result of Client's breach of any warranty or obligation under this Contract.

Signing the Bill of Lading (BOL) at destination without notation of damage shall be considered evidence of satisfactory delivery, provided however that Client shall have 5 business days to notify Expedite Gear Solutions LLC or its transportation agent of any latent damage.

9. Curbside Pickup & Delivery

Unless otherwise agreed in writing, shipments are quoted as curbside pickup and delivery. Additional fees may apply if inside pickup or delivery is requested.

10. Address Classification

The classification of an address as Business or Residential may affect charges.

Business Address: Commercially zoned location with tractor-trailer access and typically a loading dock.

Residential Address: Any home, apartment, or dwelling where people live, even if a business operates there.

Carriers may schedule delivery appointments for residential locations.

11. Responsibility Period

The responsibility of Expedite Gear Solutions LLC for the shipment commences when the Bill of Lading (BOL) is issued and signed by the driver and terminates when the shipment is signed for at destination.

12. Liability & Exclusions

Expedite Gear Solutions LLC or any of its agents shall be liable for damage resulting from negligence or willful misconduct. However, when transporting vehicles, the company shall not be liable for damages not caused by negligence including but not limited to:

Damage caused by fluids, acids, antifreeze, industrial fallout, vandalism, or acts of God

Damage not detectable due to vehicle condition or glass damage from normal road use

Mechanical malfunctions, suspension, exhaust, frame, alignment, tire damage, convertible tops, engine tuning issues or damages resulting from tie downs

Auto rental accruals

13. Vehicle Preparation

When transporting vehicles, Client is responsible for properly preparing the vehicle, including removal or securing of:

Loose parts

Fragile accessories

Low spoilers

Antennas

Security systems must be disabled and keys provided to the transporter.

14. Vehicle Operation Authority

When transporting vehicles, Expedite Gear Solutions LLC and its transportation agents are authorized to operate the vehicle as necessary for loading, unloading, pickup, and delivery.

15. Cargo Insurance

Expedite Gear Solutions LLC represents that during the term of the contract and through delivery, any carrier transporting the Load shall maintain cargo insurance with a minimum coverage of $450,000.00.

Upon request, a Certificate of Insurance may be provided naming Client as Certificate Holder.

16. Bill of Lading

Expedite Gear Solutions LLC will provide a Bill of Lading (BOL) which must be presented to the driver or carrier at pickup.

Carriers may refuse a load if:

It is not properly prepared

It does not match the specifications provided

In such case the Client will be refunded the Reservation Fee minus the $250 Dry Run / Truck Not Used fee.

17. Chargebacks

Client acknowledges that filing an unjustified chargeback against Expedite Gear Solutions LLC may result in an administrative fee of $250 if the chargeback is denied by the credit card company.

18. Broker Responsibility

The Transport Broker's responsibility begins when the BOL is issued and signed and ends when the Load is signed for at destination.

19. Indemnification

Client agrees to indemnify and hold harmless Expedite Gear Solutions LLC and its agents from any losses or damages resulting from Client's breach of this Contract.

Likewise, Expedite Gear Solutions LLC agrees to indemnify the Client for claims resulting from acts or omissions of the company, carriers, drivers, employees, or agents.

20. FMCSA Compliance

Expedite Gear Solutions LLC warrants that it operates in compliance with regulations and is properly registered with the Federal Motor Carrier Safety Administration (FMCSA).

21. Damage Claims & Delivery Delays

In case of delivery delays, federal regulations require that all shipping charges be paid in full without deductions.

Damage claims must be:

Noted at delivery

Submitted in writing within 5 days

All damage claims must be filed directly with the carrier transporting the Load, as identified on the carrier's BOL.

Client agrees to release Expedite Gear Solutions LLC from liability for such claims.

22. Delivery Timeframes

Once the Load is made available for transport, Expedite Gear Solutions LLC will use best efforts to deliver the Load promptly. However, delivery date and time are not guaranteed.

If delays exceed 5 business days, Client may terminate the Contract and receive a full refund of any deposits.

23. Client Representative

Client shall designate a representative or agent to act on the Client's behalf at pickup or delivery if the Client is unavailable.
